Official Sweepstakes Rules
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS SWEEPSTAKES IS INTENDED FOR PARTICIPATION IN THE UNITED STATES OF AMERICA. THIS SWEEPSTAKES IS VOID WHERE RESTRICTED OR PROHIBITED BY LAW.
GENERAL: In these Official Rules, "you" or "your" or “entrant” means the person who has entered this Sweepstakes. By entering in this Sweepstakes, you agree to be bound by the terms and conditions contained in these Official Rules and the decisions of the Sponsor (as defined below), which are final and binding. The Sweepstakes is governed by these Official Rules and is subject to all applicable federal, state, municipal, territorial and local laws and regulations.
THE PARTIES:
Sponsor: ACL Nutrients d/b/a Wellwithall, 70 Fairmount Street Brookline, MA 02445 (“Sponsor”)
Administrator: IDR Marketing Partners LLC d/b/a Brandshare (“Administrator”)
ENTRY PERIOD: This Sweepstakes begins at 1:00PM ET on May 14, 2025, and ends at 11:59AM ET on May 17, 2025(the “Entry Period”). Eastern Standard Time shall control for all purposes of this Sweepstakes. Administrator’s computer will be the official time-keeping device for the Sweepstakes. Eligibility for entry into the Sweepstakes will cease at the applicable time and date, and all entries received thereafter will be considered disqualified and will be ineligible for participation.
HOW TO ENTER: To receive one (1) Entry, you must complete ALL the following steps:
· visit @wellwithall_ on Instagram,
· like the Sweepstakes post,
· tag two (2) friends that you would bring with you to concert, and
· follow @wellwithall_ if you do not already do so.
Any attempt by any participant to obtain more than one entry by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant’s entries and that participant may be disqualified. Use of any automated system to participate in the Sweepstakes is prohibited and will result in disqualification. All entries must be completed and received within the Entry Period to qualify for inclusion in the Sweepstakes prize drawing described below under “Determination of Winner”. If you do not have an Instagram account, establishing one is free. All applicable Instagram terms apply. You can unfollow @wellwithall_ any time after the winner verification is complete.
ALTERNATIVE METHOD OF ENTRY: To obtain an Entry without completing the steps above, you must, during the Entry Period, send an email to tina.montague@youradv.com with Subject: WellWithAll Rodeo Concert and include your first Name and last Name in email body to receive one (1) Entry into the Sweepstakes.
ELIGIBILITY: This Sweepstakes is open only to persons who are 18 years of age or older and a legal resident of, and residing in, the fifty (50) United States and Washington DC. The Winner (defined herein) must provide a valid email address to receive their Prize (defined herein). Sponsor does not warrant that this Sweepstakes is valid in any particular jurisdiction. Participants of jurisdictions where this Sweepstakes is prohibited are ineligible to participate in this Sweepstakes. Employees, their immediate families (spouse, and parent, children and siblings and their respective spouses), and household members (whether related or not), of the Sponsor, Administrator, and their respective parents, affiliates, subsidiaries, and advertising agencies are not eligible to enter this Sweepstakes. Entrants agree to be bound by these Official Rules and the decisions of the Sponsor. Each potential Winner will be subject to all requirements set forth in these Official Rules. EACH POTENTIAL WINNER IS ALSO SUBJECT TO VERIFICATION, INCLUDING VERIFICATION OF AGE, AND RESIDENCY BY THE ADMINISTRATOR WHOSE DECISION IS FINAL AND BINDING IN ALL MATTERS RELATED TO THIS SWEEPSTAKES. A PARTICIPANT IS NOT A WINNER OF THE PRIZE, EVEN IF THE SWEEPSTAKES SO INDICATES, UNLESS AND UNTIL THE PARTICIPANT’S ELIGIBILITY HAS BEEN VERIFIED. ADMINISTRATOR WILL NOT ACCEPT EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ADMINISTRATOR HAS THE RIGHT, IN ITS SOLE DISCRETION, TO DISQUALIFY ANY WINNER AND/OR REMOVE FROM ALL SPONSOR MATERIALS ANY INDICIA OF A WINNER WHO COMMITTED AN ACT OR HAS DONE ANYTHING WHICH MIGHT BE REASONABLY CONSIDERED (A) TO BE IMMORAL, SCANDALOUS, OR OBSCENE; 0R (B) TO TARNISH, DAMAGE, OR OTHERWISE NEGATIVELY AFFECT OR IMPACT THE REPUTATION OR GOODWILL ASSOCIATED WITH SPONSOR OR ITS BRANDS.
CONDITIONS OF ENTRY: All multiple entries submitted by a single entrant are void. All entries submitted that are not in compliance with these Official Rules are void. Incomplete entries are void, including any inappropriate, incomplete or duplicative entries. Entries become the property of Sponsor and will not be returned or acknowledged. If any of the information you provide is inaccurate, you may be excluded from the Sweepstakes. Sponsor reserves the right to reject any entries deemed untruthful in its sole discretion. Proof of submission will not be deemed to be proof of receipt by the Administrator. Participation in this Sweepstakes is not conditioned upon the provision of any personal information to Sponsor by any person under the age of eighteen (18) years. Sponsor does not seek to collect, and will not knowingly accept, personal information from persons under the age of eighteen (18) years of age.
PRIZE: One (1) winner will receive three (3) concert tickets to a Sponsor-specified major act in May at Soldier Field in Chicago, IL, plus, a $250 VISA gift card. Total prize valued at approximately $1,884. TRAVEL TO AND FROM IS NOT INCLUDED AS PART OF PRIZE. Tickets are subject to terms and conditions set forth thereon. In the event of cancellation or postponement, the terms of the tickets shall govern, including with respect to any raincheck policies. Seat locations will be determined by Sponsor. Failure to comply with venue rules may result in expulsion from venue and forfeiture of the prize.
DETERMINATION OF WINNER: Administrator will randomly select one (1) winner from all eligible entries received by the end of the Entry Period. The random selection will occur on or about 12:00PM ET on May 17, 2025. The odds of winning depend on the total number of eligible entries received during the Entry Period. Potential winner will be notified via email and must reply to the notification within twenty-four hours, or the prize will be forfeited, and an alternate winner will be selected. Sponsor is not responsible for any changes to a potential winner’s email address or other information which may interfere with winner notification. In the event of a dispute concerning entries submitted by multiple individuals using the same Instagram handle, the entry will be deemed to have been submitted by the authorized subscriber of the Instagram account used to enter the Sweepstakes and such individual must comply with these Official Rules. To qualify for the prize, potential winner may be required to sign an Affidavit /Declaration of Eligibility, Consent to Publicity (where permitted by law), Liability Waiver, and federal and state tax release (collectively, the "Affidavit"), all of which must be executed and returned within twenty-four of the issuance of notification or such other date set forth in the notification by Administrator. Failure to comply with all instructions in a prize notification, or if a prize is not claimed thirty-six hours after prize notification or is returned as non-deliverable or noncompliance with these Official Rules may result in disqualification of the entry and, at Sponsor’s discretion and time permitting, the selection of an alternate winner.
PRIZE TERMS: Administrator will strive to deliver the prize within three (3) days after completion of winner verification. Any federal, state, and local taxes associated with acceptance and use of the prize are the sole responsibility of the winner. Tickets are for personal use only. Prize is non-transferable. No substitution, cash redemption, replacement or transfer of prize will be permitted, except in Sponsor’s sole discretion. If the prize is unavailable, Sponsor reserves the sole right to substitute a prize of comparable or greater value. Winner agrees to maintain his or her behavior and the behavior of its guest in accordance with all applicable laws, generally accepted social practices, and adheres to all rules and regulations applicable to venue or other entity connected to participation in any Prize activity, including, without limitation, use of a prize component. Winner understands and agrees that if winner or their guest is removed from any activity at any time, or if the winner’s or his/her guest’s behavior at any point is disruptive, causes damage or could cause damage to person, property or otherwise violates the policies of an entity associated with the prize, then winner may be required to forfeit the remainder of the prize without substitution or compensation. Any expense or item not specifically listed is the responsibility of winner, including travel to/from Chicago, IL and accommodations in Chicago, IL. Prize is awarded “As is” with no warranty or guarantee, either express or implied. All prize details are at Sponsor’s sole discretion.
RELEASE: By entering this Sweepstakes, you hereby certify that you have complied with all Official Rules of this Sweepstakes and that you have committed no fraud or deception in entering this Sweepstakes or in claiming any Prize. The Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes. By entering this Sweepstakes you grant the Sponsor the right to print, publish, broadcast, and use universe-wide in any media now known or later developed at any time or times, your name, portrait, picture, voice, likeness, and biographical information for any purpose, including for advertising and promotional purposes without additional consideration, notice, review, or approval.
BY ENTERING THE SWEEPSTAKES OR ACCEPTING ANY PRIZE, EACH ENTRANT AGREES SPONSOR, ADMINISTRATOR, META PLATFORMS (DBA INSTAGRAM), AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, AND ALL OTHERS ASSOCIATED WITH THE DEVELOPMENT AND EXECUTION OF THE SWEEPSTAKES (COLLECTIVELY, “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY, THE ENTRANT FOR ANY LIABILITY FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND, INCLUDING PROPERTY, PERSONAL INJURY OR DEATH DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE (INCLUDING ANY TRAVEL OR ACTIVITY RELATED THERETO) OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY. RELEASED PARTIES DISCLAIM ALL WARRANTIES AND THE WINNER WAIVES ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, INCLUDING LOST REVENUES OR LOST PROFITS, WHICH MAY OR DOES RESULT FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY, REGARDLESS OF LEGAL THEORY, EVEN IF THE REMEDIES OTHERWISE AVAILABLE FAIL OF THEIR ESSENTIAL PURPOSE. UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF THE RELEASED PARTIES IN CONNECTION WITH, BASED UPON, OR ARISING FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE OR PARTICIPATION IN THIS SWEEPSTAKES OR ANY PRIZE RELATED ACTIVITY EXCEED THE AMOUNT OF THE PRIZES.
MISCELLANEOUS: The Released Parties are not responsible or liable for any events beyond their control, which may cause this Sweepstakes to be stopped, including any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, nor are they responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by the Administrator on account of technical problems, human error, filtering or traffic congestion on the internet or at any web site, insufficient space in an entrant’s account to receive messages or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or device relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled entries, emails, or other communications of any kind; or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prize, or in any Sweepstakes-related materials. If, for any reason, this Sweepstakes is not capable of being conducted as planned, including due to tampering, unauthorized intervention, typographical errors, technical failures, fraud, low participation, or any other causes beyond the reasonable control of the Released Parties that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Parties reserve the right at their sole discretion to cancel, terminate, modify, or suspend this Sweepstakes. The Parties reserve the right in their sole discretion to disqualify any individual found to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. When used herein, the words “includes” and “including” and their syntactical variations shall be deemed followed by the words “without limitation.” ANY ACT OR ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ACT OR ATTEMPT BE MADE, THE RELEASED PARTIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ACT OR ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
CHOICE OF LAW AND JURISDICTION: This Sweepstakes and all matters, issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants, winner, and the Parties in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania of the United States, without giving effect to any choice of law or conflict of law rules or provisions (whether of Pennsylvania or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania. You agree that any and all disputes that cannot be resolved between you and the Parties and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively by arbitration in a location selected solely by the Parties.
SWEEPSTAKES RULES AND WINNERS LIST: These Official Rules and the name of the Winner (first name, last initial and state of residence) may be obtained by sending an email to promotions@brandshare.us with subject: WellWithAll Rodeo Concert, Winner List. Requests must be received within thirty (30) days of the end of the Entry Period.
DATA COLLECTION: By entering this Sweepstakes, specifically as it applies to the Winner, you recognize and agree that the use of your name and contact information, and any other information collected, is subject to Sponsor's Privacy Policy, which is available at: https://wellwithall.com/policies/privacy-policy . Pursuant to federal law, any participant has the right to notify the Sponsor that he/she does not wish to be contacted by the Sponsor regarding any future sweepstakes, Sweepstakes, or mailings and that Sponsor may not use any information provided to it by such participant for any purposes other than as needed for this Sweepstakes. The Sponsor may be notified by email at support@wellwithall.com.
Third Parties: This Sweepstakes is in no way sponsored, endorsed, affiliated with, associated with, or administered by Instagram, Beyonce, the Cowboy Carter Tour, Solider Field, or VISA. Participant is providing information to Sponsor and hereby releases and agrees to hold Instagram, Beyonce, the Cowboy Carter Tour, Solider Field, and VISA harmless from any and all liability, claims, or actions of any kind whatsoever for any injuries, damages, or losses of any kind in connection with this Sweepstakes.
